TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the EmagineNET website, services, software, and related platforms, including QuickCheck and any associated products (collectively, the “Services”). By accessing or using the Services, you (“Client,” “User,” or “You”) agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. USE OF SERVICES

2.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account. You agree to notify EmagineNET immediately of any unauthorized access or security breach.

2.3 Compliance Requirements
You agree to use the Services in full compliance with all applicable federal, state, and local laws, including but not limited to financial services regulations, anti-money laundering requirements, and any regulations governing check cashing or MSB activities.

3. SOFTWARE LICENSE

3.1 License Grant
EmagineNET grants you a limited, non-exclusive, non-transferable, revocable license to use the QuickCheck software and related Services solely for your internal business operations.

3.2 Restrictions
You may not copy, modify, reverse engineer, distribute, sublicense, or otherwise exploit the Services except as expressly permitted in these Terms.

3.3 Updates and Modifications
EmagineNET may modify or update the Services at any time, including improvements, security patches, or feature enhancements.

4. FEES, BILLING & TAXES

4.1 Billing Cycles
Services are billed based on the plan selected during enrollment. Monthly charges, one-time fees, hardware purchases, and add-ons will be billed according to your agreement or service order.

4.2 Taxes
All sales and services are subject to applicable state and federal taxes. For Texas-based clients, an 8.25% Texas sales tax applies to all service plans, hardware, and one-time charges.

4.3 Non-Refundable Fees
All fees, subscription charges, and service payments are non-refundable unless explicitly stated in writing by EmagineNET.

4.4 Past Due Accounts
Failure to pay any invoice may result in suspension or termination of your Services. Reactivation fees may apply.

5. HARDWARE PURCHASES

5.1 Hardware Sold Separately
Any hardware such as scanners, fingerprint devices, cash drawers, and accessories are sold separately unless otherwise specified.

5.2 Warranty
Hardware warranties, if available, are provided by the manufacturer. EmagineNET does not guarantee or warranty third-party hardware.

6. CUSTOMER DATA & SECURITY

6.1 Data Ownership
You retain ownership of all customer data, transaction data, and business information stored within the Services.

6.2 Data Use
By using the Services, you grant EmagineNET a limited right to store, process, and analyze data solely for the purpose of providing the Services, improving product performance, and maintaining network security.

6.3 Security Measures
EmagineNET uses industry-standard encryption, secure hosting, and access controls to protect your data. However, no system is completely secure. You agree to use the Services at your own risk.

7. NETWORK SHARING & FRAUD PREVENTION PROGRAMS

7.1 Fraud Detection Network
To enhance fraud prevention, select data fields (such as check issuer information, customer identifiers, company profiles, and suspicious activity indicators) may be used within EmagineNET’s fraud prevention network.

7.2 Compliance With Privacy Laws
All shared data adheres to applicable privacy, compliance, and financial service regulations.

8. SERVICE LEVELS & SUPPORT

8.1 Support Availability
Support is offered through phone, email, chat, and a Help Center. Response times may vary based on request severity.

8.2 Uptime
EmagineNET aims to provide continuous service availability but does not guarantee uninterrupted service.

8.3 Training
Initial training is included with most plans. Ongoing or advanced training may incur additional fees.

9. ACCEPTABLE USE

You may not use the Services to:

• Engage in fraudulent, illegal, or harmful activities.

• Violate any financial, AML, or MSB regulations.

• Share login access with unauthorized users.

• Upload or transmit harmful code, viruses, or scripts.

• Abuse or overload system resources.

EmagineNET reserves the right to suspend or terminate Service for violations of acceptable use.

10. TERMINATION

10.1 By You
You may cancel your Services with written notice according to your service agreement.

10.2 By EmagineNET
EmagineNET may suspend or terminate your account for non-payment, policy violations, fraud, or misuse of the Services.

10.3 Effect of Termination
Upon termination, you agree to discontinue all use of the Services. Access to software, support, and network features will be revoked.

11. DISCLAIMER OF WARRANTIES

The Services are provided “as is” and “as available.”
EmagineNET disclaims all warranties, whether expressed or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, EmagineNET is not liable for any:

• Lost profits

• Business interruption

• Loss of data

• Fraud checks and such

• Indirect, incidental, or consequential damages

EmagineNET’s total liability shall not exceed the amount paid by you in the last 30 days.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EmagineNET, owners, its employees, vendors, and partners from any claims, losses, damages, liabilities, or expenses arising from:

• Your use of the Services

• Your violation of these Terms

• Your noncompliance with financial or regulatory obligations

14. CHANGES TO TERMS

EmagineNET may update these Terms at any time. Changes become effective once posted on the website. Continued use of the Services constitutes acceptance of the updated Terms.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the appropriate courts located in Fort Bend County, Texas.
